1. Services
AI AD Creations specializes in the creation of artificial intelligence–assisted advertising content, including but not limited to:
- Digital advertisements
- Video and image-based ads
- Social media advertising creatives
- AI-generated copy, visuals, and concepts
All Services are provided based on the scope agreed upon in writing (email, proposal, contract, or invoice).
2. Eligibility
By using our Services, you represent that:
- You are at least 18 years old; and
- You have the legal authority to enter into a binding agreement on behalf of yourself or the business you represent.
3. Client Responsibilities
You agree to:
- Provide accurate, complete, and lawful information and materials required for the Services;
- Ensure that any content, branding, logos, or assets you supply do not infringe on third-party rights;
- Comply with all applicable laws, regulations, and advertising standards.
AI AD Creations is not responsible for errors, delays, or issues resulting from incomplete or inaccurate information provided by the client.
4. Intellectual Property
4.1 Ownership of Client Materials
All materials provided by the client remain the client’s property. The client grants AI AD Creations a non-exclusive, royalty-free license to use such materials solely for the purpose of delivering the Services.
4.2 Ownership of Deliverables
Unless otherwise agreed in writing:
- Upon full payment, the client is granted a non-exclusive, perpetual license to use the final deliverables for their intended advertising and marketing purposes.
- AI AD Creations retains ownership of all underlying concepts, prompts, workflows, AI models, templates, methodologies, and drafts.
4.3 Portfolio Use
AI AD Creations reserves the right to display completed work in its portfolio, website, and marketing materials unless the client expressly requests otherwise in writing.
5. AI-Generated Content Disclaimer
You acknowledge that:
- AI-generated content may produce unexpected, inaccurate, or non-unique results;
- AI AD Creations does not guarantee originality, performance outcomes, or compliance with platform-specific advertising rules;
- It is the client’s responsibility to review, approve, and ensure compliance of all final content before use.
6. Revisions
Unless otherwise stated in writing:
- A reasonable number of revisions are included as defined in the project scope;
- Additional revisions or scope changes may incur additional fees.
7. Fees and Payment
- Fees are outlined in proposals, invoices, or written agreements;
- Payments must be made in accordance with the stated payment terms;
- Late payments may result in paused work or delivery delays.
All fees are exclusive of applicable taxes, including HST, unless otherwise stated.
8. Refunds and Cancellations
Due to the custom and digital nature of the Services:
- All sales are final unless otherwise agreed in writing;
- No refunds are provided for work already completed or in progress;
- The Company reserves the right to terminate a project if the client breaches these Terms.
9. Confidentiality
Both parties agree to keep confidential any non-public business, technical, or proprietary information disclosed during the course of the engagement, unless disclosure is required by law.
10. Limitation of Liability
To the maximum extent permitted by law:
- AI AD Creations shall not be liable for any indirect, incidental, consequential, or special damages;
- Our total liability for any claim shall not exceed the amount paid by the client for the specific Services giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless AI AD Creations from any claims, damages, losses, or expenses arising from:
- Your use of the Services;
- Your advertising content, products, or services;
- Any violation of laws or third-party rights.
12. No Guarantees
AI AD Creations does not guarantee:
- Advertising performance, conversions, or revenue outcomes;
- Acceptance of ads by third-party platforms (e.g., Meta, Google, TikTok);
- Competitive or market success.
13. Termination
We reserve the right to suspend or terminate Services immediately if:
- These Terms are violated;
- Required payments are not made;
- The client engages in unlawful, deceptive, or unethical practices.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein.
15. Changes to These Terms
AI AD Creations reserves the right to update or modify these Terms at any time. Continued use of the Services after changes constitutes acceptance of the revised Terms.
